These Terms and Conditions ("Terms") govern your access to and use of GiveSpring's donation software, websites, and related services (the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Acceptance of Terms
By creating an account, purchasing a subscription, or otherwise using the Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.
2. Description of the Service
GiveSpring provides donation software that helps churches, nonprofits, and similar organizations accept and manage donations. GiveSpring facilitates donations but is not a bank, charity, fundraiser, or payment processor. Payment processing is handled by third-party providers.
3. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
4. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use or security concern.
5. Subscriptions, Billing, and Renewal
The Services are offered on a subscription basis. Fees, billing frequency, and included features are described at the point of purchase. Unless stated otherwise, subscriptions renew automatically for successive terms until cancelled before the applicable renewal date. Applicable taxes may apply. Except where required by law or expressly stated, fees are non-refundable.
6. Donations and Payment Processing
Donations made through the Services are processed by Stripe and are subject to Stripe's terms. While GiveSpring does not charge a platform fee on donations, payment processor fees may apply. Organizations are solely responsible for the accuracy of their donation records, issuing tax receipts, complying with applicable fundraising and tax laws, and the use of funds they receive.
7. Acceptable Use
You agree not to misuse the Services. Prohibited conduct includes, without limitation:
- Violating any applicable law or regulation.
- Infringing the intellectual property or other rights of any party.
- Uploading malicious code or attempting to gain unauthorized access to the Services or related systems.
- Using the Services for fraudulent, deceptive, or unlawful fundraising.
- Interfering with or disrupting the integrity or performance of the Services.
8. Intellectual Property
The Services, including all software, design, text, and other content provided by us, are owned by GiveSpring or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.
9. Your Content and Data
You retain ownership of the content and data you submit through the Services. You grant us a license to host, process, and display that content as needed to provide the Services. You are responsible for having the necessary rights and consents for any personal information you collect from your donors.
10. Third-Party Services
The Services may rely on or integrate with third-party platforms such as WordPress and Stripe. Your use of those platforms is governed by their own terms and policies, and we are not responsible for their acts or omissions.
11. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
12. Limitation of Liability
To the maximum extent permitted by law, GiveSpring will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Services will not exceed the amount you paid to us for the Services in the twelve months before the claim arose.
13. Indemnification
You agree to indemnify and hold harmless GiveSpring and its affiliates from any claims, damages, losses, and expenses, including reasonable legal fees, arising out of your use of the Services or your violation of these Terms.
14. Termination
We may suspend or terminate your access to the Services at any time for conduct that violates these Terms or is harmful to other users or to us. You may stop using the Services at any time. Provisions that by their nature should survive termination will continue to apply.
15. Modifications
We may modify the Services or these Terms at any time. When we update these Terms, we will post the revised version and update the date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
16. Governing Law and Disputes
